1. General
These general terms and conditions (the ”Terms”) govern the customer’s access to and use of the CruiseCTRL365 service (the ”Service”), which is provided by Cloud 476 AB (the ”Provider”). By using the Service, the customer accepts these Terms and Conditions.
The service contains material consisting of articles, concepts, demos, documents, templates, tips and tricks. The content can be shared via the Library, Coach, Staging, Academy, Community, Digital Gym, associated sites, meetings, email, Teams and other communication channels.
2. Access, Use and Intellectual Property Rights
- The Customer is granted a non-exclusive and non-transferable right to use the Service within its own business.
- The customer has the right to adapt and copy the material for their digital workplace.
- The customer may keep the adapted or copied material even after the subscription has ended and may continue to use it until further notice, without time limit.
- However, the Customer may not resell, license, share or otherwise distribute the Service or its content to third parties.
- The Supplier has the right to update and change the Service without prior notice.
- The Service is provided "as is", which means that the Supplier does not guarantee that it is error-free or always available.
3. Confidentiality and NDA
- The Customer undertakes to treat all information obtained through the Service as confidential and subject to confidentiality.
- The information may only be used internally and may not be shared externally without written approval from the Supplier.
- The customer should be particularly careful not to share sensitive information in discussion groups where other customers also participate.
- Information that the customer receives regarding other customers within the framework of the Service shall also be considered confidential and may not be shared further.
- Confidentiality applies even after the customer's access to the Service has ended.
- Information that is publicly available on the Service or provided in open social channels is not covered by confidentiality.
5. Payment and Subscription
- Once your payment is received, you will have access to the Service and all included content.
- The Customer pays for the Service according to the price plan in effect at the time of conclusion of the agreement.
- The customer has the right to replace users without having to purchase new licenses. The license applies to the total number of users in each package, regardless of individuals, which means that the customer's staff turnover does not affect the number of licenses.
- In the event of non-payment, the Supplier has the right to suspend the customer's access until payment has been received.
- If payment is not made within two months, the agreement will be terminated, and all user training data (including completed courses, assignments, and progress) will be permanently deleted.
- The subscription runs until terminated by either the customer or the Supplier according to the agreed notice period.
- Upon termination, the customer has access to the Service until the end of the current billing period, regardless of whether it is a monthly or annual period, without the right to a refund.
6. Limitation of liability
- The supplier is responsible not for damages, data loss or business consequences of using the Service.
- The Customer is responsible for ensuring that the Service is compatible with their IT environment.
- The Supplier assumes no responsibility for any operational disruptions or changes to the Service.
- The Provider does not provide technical support for Microsoft 365. Support only covers questions related to the Service.
7. Termination and Suspension
- The customer can cancel their subscription according to the agreed notice period.
- The Supplier has the right to terminate the agreement with immediate effect if the Customer breaches these Terms and Conditions.
8. Data protection and GDPR
- The supplier handles the customer's data in accordance with applicable data protection legislation.

- The Customer is responsible for ensuring that information and documents shared with the Service are handled responsibly and do not contain sensitive or protected data.
9. Force Majeure
- The provider is not responsible for delays or deficiencies in the functionality of the service due to circumstances beyond our control (for example, natural disasters, cyberattacks, government decisions, war or pandemic).
